RECITALS
1. The San Antonio Chapter, Community Associations Institute ("CAI SA") is governed by
the Amended and Restated Bylaws of The San Antonio Chapter, Community Associations
Institute ("Bylaws").
2. Pursuant to Article XI of the Bylaws, the Board of Directors ("Board") has been vested with
the authority to amend the Bylaws.
3. The Board of CAI SA finds it is in the best interest of CAI SA to amend the Bylaws as set
forth herein.
NOW, THEREFORE, the Board of CAI SA hereby amends the Bylaws as set forth in this
Amendment to the Amended and Restated Bylaws of The San Antonio Chapter, Community
Associations Institute (" Amendment"). All provisions of the Bylaws not amended herein or
previously amended remain unchanged and in full force and effect.
AMENDMENT
The Board hereby amends the Bylaws of CAI SA as follows:
1. Article VIII, Section 3 of the Bylaws is amended and restated to read as follows:
SECTION 3. Other Committees. Unless otherwise provided in these
Bylaws, the Board of Directors shall appoint such other standing or special
committees, subcommittees, task force or boards as may be required by these
Bylaws or as may be deemed necessary or appropriate by the Board of Directors.
Committees serve at the pleasure of the Board of Directors. Committees shall
answer to the Board of Directors; keep the Board of Directors apprised of their
activities; act within the course and scope of the committee as provided in the
Committee Charter; and provide due reports of their actions to the Board of
Directors whenever so required by the Board of Directors. The Board of Directors
may set term limits for Committee Chair's per the terms of the Committee Charter.
Committee members may be removed, with or without cause, by the affirmative
vote of a majority of the Board of Directors.

Associations Institute, do hereby certify that this Amendment to the Amended and Restated Bylaws
of The San Antonio Chapter, Community Associations Instiht.te was duly adopted by the
affirmative vote of two-thirds of the members of the Board of Directors at a meeting of the Board of
Directors where a quorum was present, held on the 10th day of March, 2020.
